Terms of Service

Terms of Service v1 (draft) — 2026-10-29 · effective October 29, 2026

These terms are between you (and the company you use EstiMates for) and Codemates ([LEGAL ENTITY NAME], a [STATE] [ENTITY TYPE]), which makes EstiMates and BidMates. By using either, you accept them. While EstiMates is in beta, the Beta Tester Agreement also applies; if the two disagree, the Beta Tester Agreement wins.

1. Your account

Give us a working email address and keep access to it secure; anyone who can open your sign-in emails can use your account. You’re responsible for what happens in your workspace, including what members you add do there.

2. Your content

Plan sets, imports, bids and everything else you put into EstiMates stay yours. You give us permission to store, copy, process and display them only as needed to run the service for you and the people you share with.

Only upload drawings and documents you have the right to use for your bid or project. Plan sets are often the copyright of the architect or engineer; sharing them is your responsibility.

3. Acceptable use

Don’t use EstiMates to break the law, send spam or unwanted bid invites, upload malware, try to get into other people’s data, overload or attack the service, or resell it without our agreement. We may suspend accounts that do.

4. People you invite

Subcontractors, reviewers, clients, owners and architects you invite don’t need an account and never pay. You’re responsible for having a reason to contact them and for what you send them. When they use EstiMates or BidMates, these terms apply to them too.

5. AI and calculations

AI suggestions (sheet names, scales, answers, symbol counts) and unit conversions are tools to save you time, not professional advice. They can be wrong. Check anything you rely on in a bid, an award or a contract; you’re responsible for your estimates and the decisions you make.

6. Proposals and e-signatures

We provide the tools to send proposals and collect electronic signatures, and we record an audit trail. We aren’t a party to your contracts and don’t give legal advice; the content of your proposals and whether they suit your jurisdiction are up to you. Your client agrees to sign electronically before signing, and can ask you for a paper copy instead.

7. Plans and billing

The Free plan costs nothing. Paid plans are billed monthly per seat, in advance, through our payment processor, at the prices on our pricing page. You can cancel from the billing page at any time; cancelling stops future charges. Fees already paid aren’t refunded for part of a month unless the law requires it.

We may change prices or what each plan includes. We’ll tell you at least 30 days before a price change affects you.

8. Availability and changes

We work to keep EstiMates running but don’t promise it will always be available or error-free. We may add, change or remove features. Keep your own copies of important files.

9. Ending

You can stop using EstiMates and ask us to delete your workspace at any time. We may suspend or end access if you break these terms, or if we stop offering the service, in which case we’ll give you reasonable notice to export your data where we can.

10. Disclaimer and liability

EstiMates is provided “as is” and “as available”, without warranties of any kind, to the extent the law allows.

To the extent the law allows, Codemates isn’t liable for indirect or consequential losses, lost bids, lost profits or lost data, and our total liability for any claim is limited to what you paid us in the 12 months before it.

11. Embeds on your website

If you embed a plan viewer or signing page on your own website, you choose which sites may show it and you’re responsible for those sites. Turning the embed off or revoking the link stops it working everywhere.

12. Governing law and disputes

These terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law rules. Any dispute that we can’t settle by talking it through will be resolved in the state or federal courts located in [COUNTY], [STATE], and you and we agree to their jurisdiction. Either of us may bring a qualifying claim in small-claims court instead.

If any part of these terms can’t be enforced, the rest still applies. If we don’t enforce a part right away, we haven’t given it up.

13. Changes and contact

If we change these terms we’ll update the version and date at the top, and tell you by email or in the app if the change is significant. Using EstiMates after a change means you accept it.
